2. Definitions
- “We”, “Us”, “Our”, or “Company” refers to Webiya Digitals.
- “You”, “Client”, or “Customer” refers to any person or company who uses our services or visits our website.
- “Services” means all marketing, consulting, advertising, and development services offered by Webiya Digitals.
- “Agreement” means the engagement contract between Webiya Digitals and the client, governed by these Terms.
3. Scope of Services
We provide a range of services, including but not limited to:
- PPC Campaign Management (Google Ads, Meta Ads, etc.)
- SEO Optimization
- Web Design & Development
- Content Marketing
- Social Media Management
- Email Marketing
- Lead Generation
- Digital Strategy Consulting
Each service is customized and defined in your service agreement or proposal. Webiya Digitals will only provide the services outlined in the approved scope of work.
4. Service Engagement & Project Timeline
- Work will begin only after the client provides written approval, submits all required information, and completes any agreed-upon initial payments.
- Estimated delivery timelines are provided as guidelines and are subject to change based on feedback cycles, revisions, and third-party delays.
- Any delay in client communication, approvals, or content submission will affect delivery schedules.
5. Pricing & Payment
- All project prices are pre-defined in the service agreement or invoice.
- Services may be offered on a fixed-fee or monthly retainer basis.
- Payment terms are net 7 or net 14 days, depending on the service package.
- Late payments may incur an interest charge of 2% per month or the highest amount permitted by law.
- Work may be paused or terminated for non-payment.
6. Revisions & Scope Adjustments
- Minor revisions are included depending on the service package (e.g., 2–3 rounds of edits).
- Major revisions, new requests, or changes to agreed deliverables will be considered out of scope and may incur additional charges.
- All scope changes must be approved in writing.
7. Intellectual Property & Ownership
- Upon full payment, the client will own the final deliverables (e.g., ad creatives, landing pages, logos, etc.).
- Webiya Digitals retains rights to all drafts, strategies, templates, internal tools, and frameworks used during the project.
- We may showcase completed projects in our portfolio, on social media, or case studies, unless a Non-Disclosure Agreement (NDA) is signed.
8. Third-Party Platforms & Tools
- We may use third-party platforms (e.g., Google Ads, Facebook Business Manager, WordPress, Shopify) to deliver services.
- The client must comply with each platform’s terms of service.
- Webiya Digitals is not responsible for any third-party system outages, policy changes, suspensions, or billing issues that may affect your campaign.
9. Confidentiality
We respect your confidentiality. Any proprietary or sensitive information shared with us will be kept confidential and not shared with any third party without your permission, except when required by law.
10. Client Responsibilities
To ensure smooth project execution, clients must:
- Provide timely access to necessary materials (e.g., logos, credentials, brand guidelines).
- Communicate feedback in a prompt and constructive manner.
- Avoid making unauthorized changes to campaigns, websites, or ad accounts while our team is managing them.
11. Service Guarantee & Results Disclaimer
While we commit to best practices, creative expertise, and data-driven strategies, we do not guarantee specific results (e.g., #1 Google ranking, X number of leads, or immediate ROI). Digital marketing outcomes are influenced by multiple factors, including market conditions, competition, consumer behavior, and advertising budgets.
12. Cancellation & Termination
- Clients may cancel services by providing 7 days’ written notice before the next billing cycle.
- If canceled during an ongoing project, the client is responsible for payment of work completed up to the cancellation date.
- Webiya Digitals reserves the right to terminate any agreement in case of policy violations, non-payment, or abuse.
13. Limitation of Liability
- Under no circumstances shall Webiya Digitals be held liable for indirect, incidental, or consequential damages arising from the use or inability to use our services.
- Our total liability will never exceed the amount the client paid for services rendered in the last 30 days.
14. Legal Compliance
Clients agree to:
- Use the services for lawful purposes only.
- Not promote illegal products, offensive content, hate speech, or misleading advertisements.
- Comply with privacy laws, digital marketing regulations, and all relevant advertising guidelines (e.g., GDPR, CASL, Google/Facebook policies).
15. Force Majeure
We are not liable for any delays or inability to perform due to circumstances beyond our control, including but not limited to natural disasters, power outages, government restrictions, platform bans, or cyber-attacks.
16. Dispute Resolution
- Any dispute shall first be addressed via internal mediation.
- If unresolved, disputes will be governed by the laws of USA, and handled in courts located within the province.
- Clients are responsible for legal fees incurred due to disputes arising from contract violations.
17. Modifications to Terms
We may update these Terms periodically. Clients will be notified of significant changes via email or website update. Continued use of our services after such modifications constitutes your acceptance of the new Terms.
